Cadence Pharmaceuticals, Inc. the "Company" ; was incorporated in the state of Delaware in May 2004. The Company is a biopharmaceutical company focused on in-licensing, developing and commercializing proprietary product candidates principally for use in the hospital setting. The Company's primary activities since incorporation have been conducting research and development activities, including clinical trials, of its product portfolio; organizational activities, including recruiting personnel, establishing office facilities; and raising capital to fund these activities. To date, the Company has in-licensed rights to AcetavanceTM, formerly known as IVAPAP, which is an intravenous formulation of acetaminophen, and OmigardTM, an omiganan pentahydrochloride 1% aqueous gel, both of which are product candidates currently being studied in Phase III clinical trials. Since the Company has not begun principal operations of commercializing either of its product candidates, the Company is considered to be a development stage company as defined in Statement of Financial Accounting Standards "SFAS" ; No. 7, Accounting and Reporting by Development Stage Enterprises. 2. Summary of Significant Accounting Policies Reclassifications Certain amounts in the December 31, 2006 financial statements have been reclassified to conform to the December 31, 2007 presentation. These reclassifications had no effect on net loss or stockholders' equity as previously reported. Management Estimates The preparation of financial statements in accordance with accounting principles generally accepted in the United States of America "GAAP" ; requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities, the disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of expenses during the reporting period. The Company bases its estimates on historical experience and on various other assumptions that are believed to be reasonable under the circumstances. On a regular basis, the Company reviews its estimates to ensure the estimates appropriately reflect changes in its business or as new information becomes available. Management believes that these estimates are reasonable; however, actual results could materially differ from these estimates. Fair Value of Financial Instruments The Company's financial instruments consist of cash and cash equivalent, available-for-sale securities, accounts payable and accrued liabilities. Fair value estimates of these instruments are made at a specific point in time, based on relevant market information. These estimates may be subjective in nature and involve uncertainties and matters of significant judgment and therefore cannot be determined with precision. The carrying amount of cash and cash equivalents, accounts payable and accrued liabilities are generally considered to be representative of their respective fair values because of the short-term nature of those instruments. The fair value of available-for-sale securities is based upon market prices quoted on the last day of the fiscal period. Cash Equivalents The Company considers all highly liquid investments purchased with original maturities of three months or less to be cash equivalents. These investments may include money market funds, U.S. Government agencies, corporate debt securities and commercial paper. The Atlantic Common Drug Review ACDR ; is a regional review process that provides evidence-based recommendations for coverage of new indications and line extensions for existing medications. Drug evaluation summaries are prepared by independent reviewers based on the manufacturer's drug submission and a systematic literature search. The drug evaluation summary is presented to the Atlantic Expert Advisory Committee who recommends the place in therapy. It is then up to each individual province to make a decision as to the coverage status. The reviews for the following products were completed by the ACDR and coverage was not recommended. 3.1.5. Medication Storage Generally, storage of medications seemed to be well handled by most of the facilities. For example, all the auditors responded that medications were stored at the manufacturer's recommended temperature. Nefazodone Serzone ; -This antidepressant causes more sedation and is helpful when insomnia is a problem. It usually doesn't cause sexual dysfunction. A disadvantage is that it has to be taken twice a day. 5. Buproprion Wellbutron, Zyban ; -A big advantage of Wellbutrin is the lack of sexual dysfunction. Patients with seizure disorders should not take this medicine. It is occasionally used at low doses in conjunction with other antidepressants in an attempt to decrease sexual side effects. It has been found it to be very successful for smoking cessation. It is occasionally associated with weight loss. It increases the dopamine and norepinephrine neuroreceptors.
